Non-Disclosure Agreement - Think Left Field Ltd


In the course of supplying production services, Think Left Field Ltd is subject to confidentiality restrictions enforced by our clients, and these covenants extend to our partners, asscociates & sub-contractors. This document formalises that agreement with the parties mentioned below.

This Non-Disclosure Agreement ("Agreement") is made between the parties with the understanding that they are either providing services or entering into discussions regarding the provision of services. Both parties agree to the following terms:

    1. Confidentiality Obligation
      Any information, whether oral, written, or otherwise communicated during discussions or service provision by the disclosing party or its clients, shall be treated as confidential by the receiving party.
    1. Use and Security of Information
      The receiving party agrees to keep all confidential information secure and not to use or disclose it for any purpose other than considering the provision of services, unless prior written consent is obtained from the disclosing party.
    1. Scope of Confidential Information
      This Agreement covers both technical and commercial information disclosed by either party or their clients.
    1. Unauthorised Disclosure
      The receiving party shall immediately notify the disclosing party upon discovering any unauthorised use or disclosure of confidential information and take necessary steps to prevent further unauthorised use or disclosure.
    1. Exclusions
      This Agreement does not apply to information that:
        • Is already in the public domain;
        • Was lawfully in the receiving party’s possession before disclosure;
        • Is independently acquired without involvement from the disclosing party or its clients.
    2. Client Ownership and Relationship
      The receiving party acknowledges that all client relationships and ownership remain with the disclosing party. Approaching the client directly, soliciting, or attempting to establish a separate business relationship without the express written consent of the disclosing party is strictly prohibited.
    1. Return of Information
      Upon request, the receiving party shall return all documents or materials related to the confidential information and shall not retain any unauthorised copies.
    1. Intellectual Property Rights
      This Agreement does not confer any licence, title, or interest in the disclosing party’s intellectual property rights.
    1. Duration of Confidentiality
      The obligations under this Agreement shall remain in effect for two (2) years from the date of signature or until the confidential information enters the public domain, whichever occurs sooner.
    1. Indemnity
      The receiving party agrees to indemnify the disclosing party for any losses, costs, claims, liabilities, or damages incurred due to a breach of this Agreement.
  1. Legal Remedies
    Given the difficulty in quantifying damages resulting from unauthorised disclosure, the receiving party acknowledges that the disclosing party is entitled to seek injunctive relief and other appropriate remedies in a court of competent jurisdiction. The receiving party further recognises that specific performance is an appropriate remedy for any breach of this Agreement, without prejudice to any rights to damages.
